Terms of Service

1. Acceptance of Terms

By accessing or using Clipsilo (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Eighty-Eight Services LLC ("Clipsilo," "we," "us," or "our").

2. Description of Service

Clipsilo is a content asset warehouse platform that allows users to ingest, organize, approve, and distribute digital media assets via a REST API, MCP server, and web interface. The Service includes storage metadata management, client approval workflows, webhook integrations, and an admin dashboard.

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. When you create an account, you agree to provide accurate information and to keep your credentials secure. You are responsible for all activity that occurs under your account. Clipsilo reserves the right to suspend or terminate accounts that violate these Terms or that we believe pose a risk to the Service or other users.

4. Subscription and Payment

Clipsilo is offered as a paid subscription at $10/month or $96/year. All new accounts begin with a 7-day free trial — no credit card required to start. After the trial period, continued access requires a valid payment method on file. Subscriptions renew automatically unless cancelled before the next billing cycle. Refunds are not provided for partial billing periods. Prices may change with 30 days' advance notice.

5. API and MCP Usage

Your subscription includes full access to the Clipsilo REST API and MCP server. You agree to use the API only for lawful purposes and in a manner that does not overburden the Service. We reserve the right to rate-limit or throttle API requests to maintain service quality. API keys are personal to your account — do not share them publicly or embed them in client-side code.

6. Your Content

You retain ownership of all content assets you upload, ingest, or reference through the Service ("Your Content"). By using the Service, you grant Clipsilo a limited, non-exclusive license to host, index, and process Your Content solely for the purpose of providing the Service to you. We do not claim ownership over Your Content, we do not sell it, and we do not use it to train machine learning models.

7. Prohibited Uses

You agree not to use the Service to:

  • Upload or distribute content that is illegal, obscene, defamatory, or infringes any third-party rights
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Use automated tools to scrape or harvest data from the Service outside of the documented API
  • Resell or sublicense the Service without express written permission
  • Interfere with or disrupt the integrity or performance of the Service

8. Termination

You may cancel your subscription at any time from your account settings. Access continues until the end of your current billing period. Clipsilo may terminate or suspend your account immediately, without prior notice, if you breach these Terms or if we determine that continued access poses a risk to the Service or other users. Upon termination, your right to access the Service ceases and we may delete your account data after a reasonable retention period.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPSILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you disagree with any change, you may cancel your subscription before the effective date.
